Terms of Service & User Agreement
Standard terms, conditions, and strict no-refund legal contract governing the use of OpenBill Pro SaaS billing and WhatsApp automation platform.
1. Acceptance of Terms & Eligibility
By creating an account, accessing, or using OpenBill Pro (referred to as "Service", "Platform", "we", "us", or "our", an initiative by OpenSoz), you agree to be legally bound by these Terms of Service. If you are registering on behalf of a partnership firm, proprietorship, company, or other legal entity, you represent and warrant that you hold the legal authority to bind that entity to this agreement. If you do not agree to all terms outlined herein, you must immediately cease accessing and using the platform.
2. Nature of the SaaS Service
OpenBill Pro is a proprietary cloud-based Software-as-a-Service (SaaS) application developed for Indian retailers, wholesalers, service providers, and MSMEs to:
- Generate GST-compliant tax invoices, cash memos, credit notes, and quotations with automated SGST, CGST, and IGST calculations.
- Embed dynamic National Payments Corporation of India (NPCI) UPI QR codes for zero-commission peer-to-merchant settlements.
- Transmit invoice PDF documents, receipts, and ledger reminders directly to customer WhatsApp accounts via session automation.
- Manage customer directories, track pending receivables (Khata), and export tax registers formatted for official GSTR-1 government portal filing.
3. Account Registration, Verification & Security
To access the platform, you must register using an authentic Indian mobile number and a verified email address. You are solely responsible for safeguarding your login credentials, API session keys, and any one-time passwords (OTPs). Any activity originating from your account credentials will be deemed to have been executed by you. You agree to notify us immediately at help.opensoz@gmail.com if you suspect any unauthorized breach or account compromise.
4. Zero-Fee Direct UPI Payment Routing Disclaimer
OpenBill Pro produces standard NPCI deep links (`upi://pay`) utilizing the Virtual Payment Address (UPI ID) configured by you in your shop settings:
- No Intermediate Holding: OpenBill Pro is NOT a payment aggregator, payment gateway, or financial escrow. Customer payments bypass our platform and settle directly into your linked bank account.
- Zero Transaction Cuts: OpenBill Pro never deducts any fee, commission, or percentage from your customer settlements.
- Merchant Responsibility: You are solely responsible for ensuring the accuracy of your registered UPI ID and bank account details. OpenBill Pro bears no liability for misdirected funds resulting from incorrect UPI ID configurations.
5. WhatsApp Automation & Anti-Spam Fair Usage Policy
WhatsApp connectivity provided within OpenBill Pro is strictly intended for bona fide transactional communications (delivering requested invoices, payment confirmations, and balance reminders):
- Strict Prohibition on Unsolicited Bulk Marketing: You may not use the integration to dispatch unsolicited bulk marketing, spam, cold outreach, or illegal materials.
- Compliance with WhatsApp Guidelines: You must comply with all third-party messaging regulations established by WhatsApp LLC. OpenBill Pro reserves the right to terminate WhatsApp bridge connectivity for accounts that trigger spam flags or abuse complaints.
6. Subscription Fees & Strict No-Refund Policy
All subscription plans (Starter, Pro, Monthly, Annual, or Lifetime) and prepaid wallet top-ups are subject to an absolute Strict No-Refund Policy:
- Digital Goods & Immediate Delivery: Software licenses, server resources, cloud storage, and automated messaging engines are provisioned immediately upon transaction confirmation. Consequently, all sales are final.
- No Partial or Pro-Rata Refunds: No refunds, credits, or fee adjustments will be made if you stop using the service before the end of your billing term.
- Evaluation Opportunity: Users have access to full interactive sandbox previews and free trial access prior to upgrading. By completing checkout, you confirm your acceptance of this non-refundable policy.
- Cancellation: You may cancel future auto-renewals at any time from your Account Settings. Upon cancellation, your access remains active until the expiration of the current prepaid billing period.
7. Data Ownership & DPDP Act Compliance
You retain 100% legal ownership of your business records, invoice archives, and customer directories. In accordance with the Digital Personal Data Protection (DPDP) Act, 2023, OpenBill Pro does not sell, lease, or monetize your customer records or trade metrics to any third-party marketing entities or lenders. You may export your full data records or initiate permanent account deletion at any time.
8. Limitation of Liability
To the maximum extent permitted under applicable law, OpenBill Pro and its creators (OpenSoz) shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of business profits, data corruption, or operational interruptions resulting from third-party network outages (such as bank UPI downtime, telecom network failures, or WhatsApp server maintenance).
9. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, arbitration, or proceeding arising under or in connection with these terms shall fall under the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
